Job DescriptionTransactions Associate Attorney
Direct Counsel is seeking a Transactions Associate Attorney to join a prestigious Am Law firm in Silicon Valley, CA; San Francisco, CA; or San Diego, CA.
This is an exceptional opportunity for an attorney with 3-5 years of corporate transactional experience to join a sophisticated Transactions Practice. The team advises emerging companies, venture capital funds, private equity sponsors, entrepreneurs, and public and private companies on a broad range of corporate transactions, including venture financings, mergers and acquisitions, private equity investments, and general corporate matters.
Responsibilities

Represent emerging companies, venture capital funds, private equity sponsors, and other investors in a variety of corporate transactions.

Advise clients on venture capital and early-stage financings.

Handle mergers, acquisitions, dispositions, joint ventures, and other strategic transactions.

Provide general corporate counseling to publicly and privately held companies.

Draft, review, and negotiate transaction documents and corporate agreements.

Support capital markets transactions and public company reporting matters, as applicable.

Manage transactions from inception through closing while maintaining direct client relationships.

Collaborate with multidisciplinary teams in a fast-paced, client-focused environment.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in good standing with the California Bar.

3-5 years of corporate transactional experience.

Experience with venture capital and early-stage financings, mergers and acquisitions, dispositions, joint ventures, and general corporate matters.

Experience with capital markets transactions and public company reporting is preferred.

Excellent drafting, negotiation, analytical, and communication skills.

Strong interpersonal skills, business development aptitude, and a commitment to exceptional client service.
Compensation & Benefits

Salary: $260,000-$390,000, commensurate with experience and qualifications.
