Direct Counsel is seeking a Mergers & Acquisitions & Private Equity Managing/Senior Associate Attorney to join a prestigious Am Law firm in Irvine (Orange County), Miami, New York City, or San Francisco.
This is an exceptional opportunity for an attorney with 4-7 years of mergers and acquisitions experience to join a nationally recognized Corporate practice. The team advises public and private companies, private equity sponsors, founders, and investors on sophisticated domestic and cross-border mergers, acquisitions, private equity investments, and other strategic corporate transactions.
Responsibilities

Represent public and private companies, private equity sponsors, and investors in mergers, acquisitions, divestitures, and other strategic transactions.

Draft, review, and negotiate purchase agreements, merger agreements, ancillary transaction documents, and corporate governance documents.

Lead legal due diligence efforts for complex M&A transactions.

Manage transaction structuring, negotiations, signing, and closing processes.

Coordinate with multidisciplinary legal teams, including tax, finance, employment, and regulatory attorneys, on sophisticated transactions.

Serve as a primary point of contact for clients while providing practical, business-oriented legal advice.

Mentor junior associates and contribute to the development of the corporate practice.

Manage multiple high-profile transactions in a collaborative, fast-paced environment.
Qualifications

J.D. from an ABA-accredited law school.

Active membership in the state bar of the office where the attorney will be located.

4-7 years of mergers and acquisitions experience at a major law firm.

Experience representing buyers, sellers, investors, or private equity sponsors in sophisticated corporate transactions.

Strong drafting, negotiation, analytical, and communication skills.

Excellent academic credentials.

Outstanding interpersonal skills with the ability to build strong client relationships.

Demonstrated ability to manage complex transactions independently while collaborating effectively with legal teams.

Highly motivated with exceptional organizational and project management skills.
Compensation & Benefits

Salary: $310,000-$420,000, commensurate with experience and qualifications.
