Job DescriptionCorporate Transactional Attorney - (M&A, Entity Formation) Established (20+ Years) and Growing Mid-Sized Firm is Seeking a Corporate Transactional Attorney in El Segundo, CA! (Super Flexible Hybrid/Remote Policy) An established firm based in El Segundo, CA with over 15 years in practice is seeking a Corporate Transactional Attorney with 5+ years of experience to join their team onsite. This role will focus on purchase and sale agreements, dissolutions, stock and asset transactions, mergers and acquisitions, joint ventures, S corporations, entity formation, and sophisticated corporate transactional matters for clients ranging from closely held companies to larger businesses. Offer:- Salary range: $180,000-$225,000+, contingent on experience- Minimum billable requirement of 1,550 hours annually- Annual Performance Bonus starts right at 1550!- Quarterly bonus opportunities beginning at 387.5 billable hours per quarter- Work-life balance and flexible hybrid/remote policy- Referral commission bonus for work referred to the firm that is billed and collected, paid quarterly 30 days after quarter end- Comprehensive benefits package Qualifications:- Active membership in good standing with the California Bar- 5+ years of corporate transactional experience preferred- Experience drafting and negotiating purchase and sale agreements, stock and asset transactions, dissolution documents, merger agreements, joint venture agreements, and entity formation documents- Strong legal writing, drafting, analytical, and client communication skills- Ability to manage sophisticated corporate transactional matters for closely held businesses, multi-member entities, and larger companies- Experience advising clients on S corporation matters, corporate governance, business structuring, and transactional compliance- Ability to work independently while collaborating with partners, clients, and internal team members Responsibilities:- Draft and negotiate purchase and sale agreements, stock purchase agreements, asset purchase agreements, merger documents, joint venture agreements, and corporate governance documents- Advise clients on entity formation, ownership structures, dissolutions, S corporation matters, and general corporate transactions- Manage corporate transactional matters from initial client consultation through closing or completion- Conduct legal research and prepare written analyses, memoranda, agreements, and client-facing correspondence- Support clients across a range of business sizes, including companies with a few members and larger corporate entities- Ensure corporate transactions comply with applicable laws, regulations, and internal client objectives- Coordinate with clients, opposing counsel, accountants, advisors, and internal firm stakeholders to move transactions forward efficiently - For this position, you must be currently authorized to work in the United States without the need for sponsorship for a non-immigrant visa.
