Job DescriptionDirect Counsel is seeking a Private Equity Debt Finance Associate Attorney to join a leading law firm. The ideal candidate will have 3-5 years of experience representing private equity sponsors, banks, and/or private credit lenders in sophisticated debt financing transactions, with particular experience handling leveraged buyouts, acquisition financings, and corporate growth financings.

Responsibilities:
- Represent private equity sponsors, banks, and private credit lenders in connection with sophisticated debt financing transactions.
- Advise clients on term loan and revolving loan facilities supporting leveraged buyouts, acquisition financings, and corporate growth.
- Draft, review, and negotiate commitment papers, credit agreements, and collateral documentation.
- Assist with the structuring and execution of leveraged finance and other debt financing transactions.
- Analyze and negotiate financing terms and related documentation to protect client interests and facilitate successful closings.
- Work collaboratively with partners and other attorneys while independently managing substantial components of transactions.
- Coordinate with clients, opposing counsel, financial institutions, and other transaction professionals throughout the deal process.
- Manage multiple transactions and competing deadlines in a fast-paced transactional practice.
Qualifications:
- 3-5 years of law firm experience in debt finance, leveraged finance, or a closely related transactional practice.
- Experience representing private equity sponsors, banks, and/or private credit lenders.
- Substantive experience with term loan and revolving loan facilities.
- Experience handling financing transactions involving leveraged buyouts, acquisition financings, and corporate growth.
- Strong drafting and negotiation experience with commitment papers, credit agreements, and collateral documents.
- Outstanding academic credentials and comparable law firm experience.
- Excellent written and verbal communication skills.
- Strong analytical, organizational, and attention-to-detail skills.
- Demonstrated ability to work effectively as part of a team while managing significant components of transactions independently.
- Relevant bar admission or eligibility to obtain admission promptly.
Compensation: $260,000-$365,000 annually, plus potential bonus and comprehensive benefits. Compensation may vary based on experience, qualifications, location, and other applicable factors.
