Locations: New York, NY; San Diego, CA; San Francisco, CA

Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law firm with a nationally recognized Social Enterprise and Impact Investing practice.

Responsibilities:

• Advise clients on corporate transactions, entity formation, governance, and structuring.

• Support private equity, venture capital, growth equity, financing, secondary transactions, and other private investment deals.

• Draft, review, and negotiate investment, financing, governance, and other transactional documents.

• Counsel boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.

• Collaborate with attorneys across corporate, finance, tax, regulatory, securities, executive compensation, and intellectual property practices on sophisticated transactions and advisory matters.

• Develop innovative legal and financing structures that advance social and environmental objectives.

Requirements:

• 3–6 years of law firm experience advising clients on corporate transactions, governance, incorporation, and structuring.

• Experience with private equity, venture capital, growth equity, financings, or other private investment transactions.

• Strong drafting, negotiation, analytical, and communication skills.

• Ability to work collaboratively across practice areas and manage increasing levels of responsibility.

• Admission to the applicable state bar or eligibility for admission by waiver.

• Experience in social enterprise or impact investing is preferred but not required.

Compensation: $260,000–$390,000 annually, depending on location, qualifications, and experience, plus potential discretionary bonus and comprehensive benefits.
