Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney with 4–7 years of experience to join a top-ranked global law firm and its highly regarded Corporate & Securities practice in San Francisco. This is an exciting opportunity for an experienced M&A attorney to take on significant responsibility while working on sophisticated, complex transactions for leading clients around the world.

Position Overview

The ideal candidate will have substantial experience handling complex M&A and private equity transactions and be comfortable taking an active role throughout the deal process. The firm offers associates meaningful client-facing responsibilities from day one, with the opportunity to work alongside experienced attorneys on high-profile domestic and cross-border transactions.

Responsibilities

• Represent buyers, sellers, sponsors, and financial advisers in sophisticated mergers and acquisitions and private equity transactions.

• Draft and negotiate complex M&A, equity, acquisition, and related transaction documents.

• Serve as a key member of deal teams and take ownership of significant aspects of transactions.

• Manage and coordinate due diligence through closing.

• Advise clients on the legal and technical aspects of complex transactions, as well as related financial and market considerations.

• Work collaboratively with attorneys and deal professionals across the firm to develop creative, commercially focused solutions.

• Take on meaningful client-facing responsibilities and contribute to the firm's continued growth in the M&A and private equity space.

Qualifications

• 4–7 years of M&A experience at a leading law firm.

• Hands-on experience drafting and negotiating complex M&A and private equity transaction documents.

• Experience serving as a key member of deal teams, with responsibility for significant portions of transactions from due diligence through closing.

• Strong understanding of corporate transactions and related legal and commercial considerations.

• Excellent drafting, negotiation, analytical, and communication skills.

• Strong ability to work collaboratively in a team-oriented environment.

• Demonstrated ability to manage multiple priorities and work effectively in a fast-paced transactional practice.

Compensation

The anticipated salary for this position is $310,000+ annually, commensurate with class year and experience.
