Direct Counsel is seeking a General Corporate Associate Attorney with 1–2 years of experience to join a leading global law firm and its dynamic Corporate practice.

Position Overview

The ideal candidate will be an entry-level or junior corporate attorney with a strong interest in general corporate practice and experience, coursework, or demonstrated interest in sophisticated corporate matters. The practice advises entrepreneurs, investors, financial institutions, and established companies, with significant work involving technology, life sciences, and other high-growth industries.

Responsibilities

  • Advise entrepreneurs, investors, financial institutions, and companies on a variety of corporate matters.
  • Support emerging companies and venture capital transactions.
  • Assist with debt and equity financings.
  • Support mergers and acquisitions and other strategic corporate transactions.
  • Assist with capital markets and private equity matters.
  • Draft, review, and negotiate corporate and transactional documents.
  • Conduct legal research and analysis on complex corporate matters.
  • Collaborate with attorneys across practice areas to deliver practical, business-oriented solutions.
  • Support clients across technology, life sciences, and other high-growth industries.

Qualifications

  • 1–2 years of general corporate experience.
  • Experience involving public and/or private companies is preferred.
  • Demonstrated interest in or experience with one or more of the following:
    • Emerging companies and venture capital
    • Debt and equity financings
    • Mergers and acquisitions
    • Capital markets
    • Private equity
    • General corporate matters
  • Strong academic credentials from a nationally recognized law school.
  • Excellent analytical, writing, research, and communication skills.
  • Strong attention to detail and ability to manage multiple priorities.
  • J.D. from an accredited law school.
  • Admission to the California Bar, or eligibility for admission, as applicable.

Compensation

The anticipated salary range for this position is $225,000–$235,000 annually, depending on applicable experience and skill set.
