About the Opportunity

For one of our clients, a well-established full-service law firm, we are looking for an experienced Tax Associate to join its Tax, Trusts & Estates practice in Los Angeles.

You will work closely with partners and clients on sophisticated domestic business transactions, transactional tax matters, restructurings, and tax planning for privately held businesses, high-net-worth individuals, family offices, and emerging companies.

$230K–$350K base + bonus

What You'll Be Doing

  • Advise partnerships, S corporations, and C corporations on federal, state, and local tax aspects of business transactions.
  • Handle tax matters related to M&A, acquisitions, dispositions, joint ventures, and restructurings.
  • Draft, review, and negotiate transactional tax provisions, including tax indemnification, purchase price allocations, and partnership allocation provisions.
  • Advise high-net-worth individuals, family offices, private businesses, and emerging companies on transactional tax planning and business structuring.
  • Support pre-transaction restructurings, including F reorganizations, asset contributions, and debt restructurings.
  • Work closely with partners on sophisticated income and transactional tax matters.

Key Requirements

  • Minimum 3 years of practicing law at a law firm; approximately 4–8 years is preferred.
  • Strong, hands-on experience in income and transactional tax law.
  • Experience must extend beyond tax compliance and tax return preparation — candidates should have substantive transactional tax experience.
  • JD from an accredited law school is required.
  • Law school transcript is required upon submission.
  • Active California Bar admission or ability to obtain admission.
  • A stable employment history is strongly preferred; multiple short-term law firm positions may not align with the firm's expectations.
  • Ability to work 4 days per week in the Los Angeles office.
  • Candidates must already have authorization to work in the United States. Visa sponsorship is not available.

Compensation

Base salary: $230,000–$350,000, depending on experience.

Total compensation can reach approximately $380,000–$475,000 for associates meeting minimum performance standards, including the 1,900 billable-hour target.

Additional bonus potential is available for hours billed above 1,900 and for origination credit.

This opportunity is particularly well suited to an attorney with a strong transactional tax background, solid law firm training, and an interest in handling sophisticated transactions while working directly with experienced partners and clients.
