Direct Counsel is seeking a Life Sciences Corporate Associate Attorney to join a leading global law firm.

Locations: Boston, Massachusetts; Los Angeles, California; New York, New York; Philadelphia, Pennsylvania; San Francisco, California; Santa Monica, California; Silicon Valley, California

Position Overview

The attorney will join the firm's Life Sciences team, advising high-growth life sciences, healthcare, and technology companies in the U.S., Asia, and internationally. The practice handles corporate transactions throughout the company lifecycle, including equity financings, IPOs, M&A, and corporate governance matters.

Responsibilities

  • Advise venture-backed private and public companies on corporate and transactional matters
  • Handle equity financing transactions
  • Advise clients on IPOs and registered equity offerings
  • Support mergers and acquisitions
  • Advise public companies on ongoing SEC matters and compliance
  • Assist with corporate governance matters
  • Manage substantial components of transactions independently while collaborating with broader deal teams
  • Develop expertise in life sciences and related industries

Qualifications

  • 2-4 years of experience in corporate and transactional law
  • Experience with a broad range of lifecycle corporate matters
  • Experience with public company work and registered equity offerings
  • Experience with ongoing SEC representation
  • M&A experience
  • Experience working with life sciences companies preferred
  • Candidates with an interest in life sciences work but without direct industry experience will also be considered
  • Experience working effectively as part of a team and independently managing substantial components of transactions
  • Outstanding academic credentials
  • Comparable law firm experience
  • Excellent written and verbal communication skills
  • Relevant bar admission or eligibility to obtain admission promptly

Compensation

$235,000–$310,000, depending on qualifications and experience.
